1. Parties and booking
1.1 This Rental Agreement (the "Agreement") is between Producers' Club Theatres, 358 West 44th Street, New York, NY 10036, 212-315-4743, info@producersclub.com ("Licensor"), and the person or company named in the booking ("Licensee"). If Licensee books for a company or production, the person booking confirms they are authorized to bind it, and both are jointly and severally responsible.
1.2 This is a license, not a lease. Licensee receives a limited, revocable license to use the booked space for the booked purpose and times only. Licensee gets no tenancy or property rights.
1.3 Booking details. The space, date(s), times, purpose, price, add-ons and payment schedule are those shown in the online booking, the confirmation email or the invoice (the "Booking"). The Booking is part of this Agreement.
1.4 Approval. A Booking is binding only when Licensor approves it in writing (including by confirmation email). If Licensor declines a request, any amount paid is refunded in full and neither party owes anything further.
1.5 Definitions. "Space" means the theater, screening room, studio or podcast studio booked. "Event" means Licensee's performance, screening, presentation, rehearsal, recording or meeting. "Guests" means Licensee's cast, crew, staff, vendors, invitees and audience.
2. Fees and payment
2.1 Payment schedule.
| Booking | Due at booking | Balance due |
|---|---|---|
| 1 or 2 performances, or any single screening, presentation, rehearsal or recording session | 100% | None |
| Run of 3 or more performances | 50% | 30 days before the first performance; if booked less than 30 days ahead, halfway between the booking date and the first performance |
2.2 Full payment before the Event. All fees must be paid in full before the Event begins. If any amount is unpaid on its due date, Licensor may cancel the Booking and keep all amounts paid, and may deny access to the Space.
2.3 No refunds. All payments are non-refundable and non-transferable once a Booking is approved, including for cancellation, no-show, reduced use, early departure, low ticket sales or illness. Booked hours cannot be exchanged or credited. The only refunds are under 1.4 and 7.2.
2.4 Late payment. Amounts unpaid more than 5 days after their due date bear interest at 1.5% per month, or the highest lawful rate if lower. Licensee pays Licensor's reasonable costs of collection, including attorney's fees.
2.5 Chargebacks. Licensee will not dispute a card charge for a Booking that was provided. A chargeback after the Event is a breach of this Agreement, and the amount stays due with collection costs.
2.6 Extra charges. Overtime, add-ons ordered later, extra cleaning, damage and replacement equipment are billed at Licensor's then-current rates and are due on receipt.
3. Use of the Space
3.1 As is. Licensee has seen the Space (or its photos and description) and accepts it and its equipment "as is", for the booked purpose only.
3.2 Booked times are strict. Booked times include load-in, setup, the Event, strike and load-out. Licensee and Guests enter no earlier and leave no later than the booked times. Holdover time is billed at the hourly rate in 30-minute increments, at a minimum of one full hour. Licensor may stop an Event that runs over to protect the next booking.
3.3 Nightly strike. For performance bookings, all set pieces, props and personal property are removed or stored where Licensor directs after each performance, unless Licensor agrees otherwise in writing.
3.4 Leave it as you found it. Licensee returns the Space clean, with garbage bagged, furniture, risers, props and pianos back in place, and lights, air conditioning and equipment turned off. Extra cleaning or restoration is charged at cost plus 20%.
3.5 No alterations. No painting, nails, screws, tape on walls or floors (except approved gaff tape), rigging, haze, fog, glitter, confetti, open flame, candles, pyrotechnics, real weapons or animals without Licensor's prior written approval. Risers, stage, curtains, drapes and seats are never moved without written approval.
3.6 Capacity and fire safety. Guests in the Space never exceed its posted seat count. Aisles and exits stay clear. Licensee and Guests follow all FDNY, Department of Buildings and other laws, and all instructions of Licensor's staff and fire guard.
3.7 Sound. Licensee's own lighting or sound equipment needs Licensor's prior approval. Licensee lowers volume immediately when asked, including because of complaints from neighbors or other tenants. Licensor is not responsible for sound bleed between spaces.
3.8 Alcohol, smoking and food. All alcohol is bought from the Producers' Club bar; no outside alcohol (New York State Liquor Authority rules). Licensee does not serve alcohol to anyone under 21 or visibly intoxicated. No smoking or vaping anywhere in the building. Food only with Licensor's approval.
3.9 Minors. Anyone under 18 is supervised by a responsible adult at all times. Licensee is responsible for any child-performer permits and laws.
3.10 Conduct and access. Licensee is responsible for the conduct of all Guests. Licensor may remove anyone who is disorderly, unsafe or breaking the law or these rules, or stop the Event in an emergency, without refund. Licensor may enter the Space at any time for safety, repairs or emergencies.
3.11 Lawful use. No illegal activity, and no content or activity that creates a safety risk or exposes Licensor to legal claims. Licensor may cancel without refund if a Booking was obtained with false information about the Event.
3.12 Left-behind property. Property left after the Booking may be removed, stored at Licensee's cost or disposed of after 7 days, without liability to Licensor.
3.13 Advertising. Licensee may name "Producers' Club, 358 West 44th Street" as the venue, but may not say "Producers' Club presents" or imply that Licensor produces or endorses the Event without written approval.
3.14 Correct booking type. Licensee books the type that matches the Event and describes the Event truthfully when booking. Rehearsal and meeting rates are for cast, crew and team only, with no audience. If a rehearsal or meeting booking is used for a performance, reading, showcase, screening, presentation or any event with guests or an audience, paid or free, Licensee pays the difference between the amount paid and Licensor’s rate for the correct booking type, and Licensor may charge the card used for the Booking. Licensor may also stop the Event or cancel the Booking without refund under 3.11.
4. Equipment, damage, insurance and liability
4.1 Equipment. Licensor's equipment (projector, screen, sound system, Mac mini, lighting, mics, podium, cameras) is used only as provided and only by people who know how to use it, or by Licensor's technician. Licensee does not change settings, cabling or rigging, or connect equipment Licensor has not approved. Licensor provides no office supplies, tools, props or furniture beyond what is listed in the Booking.
4.2 Damage and loss. Licensee pays for any damage to, or loss or theft of, the Space, building, seats, fixtures or equipment during the Booking, caused by Licensee or any Guest (normal wear and tear excepted): repair cost, or full replacement value for anything lost or beyond repair. Payment is due within 7 days of Licensor's invoice. Licensor may charge the card used for the Booking.
4.3 Licensee's property. Licensee's and Guests' property, including equipment, sets, costumes and files, is at their own risk. Licensor provides no storage or security for it and is not responsible for its loss, theft or damage. Licensee keeps its own backup of any file it plays or records.
4.4 Insurance. For performance bookings, runs, events with an audience over 50, or when Licensor requests it, Licensee carries commercial general liability insurance of at least $1,000,000 per occurrence and $2,000,000 aggregate, naming Producers' Club Theatres, Alfred Tollja, and Lublin/Marin (landlord of 358 West 44th Street) as additional insureds. A certificate is due at least 7 days before the Event. Without it, Licensor may deny access without refund. Vendors Licensee brings in carry their own insurance.
4.5 Indemnity. Licensee will defend, indemnify and hold harmless Licensor, its owners, officers, employees and agents, and its landlord Lublin/Marin, from all claims, losses, damages, penalties, fines, judgments and costs, including reasonable attorney's fees, arising from or related to (a) the Event or Licensee's use of the Space, (b) any act or omission of Licensee or any Guest, (c) any breach of this Agreement, or (d) any content shown, performed or recorded, including, but not limited to, injury to any person and damage to property, except to the extent caused by Licensor's gross negligence or willful misconduct.
4.6 Limit of Licensor's liability. To the fullest extent the law allows, Licensor is not liable for indirect, incidental or consequential damages, including lost profits, ticket refunds or lost business, or for failures of equipment, internet, power, heating or air conditioning. Licensor will make reasonable efforts to fix such failures. Licensor's total liability for any claim related to a Booking is limited to the amount Licensee paid for that Booking.
4.7 Assumption of risk. Licensee and Guests use the Space at their own risk, including stages, stairs, risers and lighting areas. Licensee is responsible for safe rehearsal and performance practices.
5. Content, recording and publicity
5.1 Rights to content. Licensee owns or has licensed all rights to everything it shows, plays, performs or records, including films, music, scripts and images. This includes all performance licenses (ASCAP, BMI, SESAC, and play and film licensing). Licensee is responsible for any copyright or other claim about that content.
5.2 Recording. Producers' Club does not film, record or livestream Events, except in the podcast studio as booked. Licensee may record its own Event at its own risk and is responsible for consent from everyone recorded.
5.3 Photos and promotion. Licensor may photograph the Space during the Event for its own promotion, without showing Guests' faces unless they agree. Licensee allows Licensor to list the Event's title, dates and poster on Licensor's website and social media.
6. Cancellation and changes
6.1 By Licensee. Licensee may cancel at any time, but no payment is refunded or credited (2.3). Date changes are at Licensor's sole discretion, subject to availability and any change fee Licensor sets.
6.2 By Licensor for cause. Licensor may cancel or end a Booking without refund if Licensee breaches this Agreement, misses a payment, gives false information about the Event, or creates a safety risk.
7. Events beyond control
7.1 Neither party is liable for failure or delay caused by fire, flood, extreme weather, power or utility outage, government order, public health emergency, labor dispute, building emergency or other cause beyond its reasonable control.
7.2 If Licensor cannot provide the Space for such a reason, or for a reason within its control other than Licensee's breach, Licensor will, at Licensee's choice, move the Booking to an available date or refund the amounts paid for the affected dates. This is Licensee's only remedy.
8. General terms
8.1 Governing law. New York law governs this Agreement. Any dispute goes exclusively to the state or federal courts in New York County, New York, and both parties consent to their jurisdiction. Both parties waive trial by jury.
8.2 Attorney's fees. If Licensor takes action to enforce this Agreement or collect amounts due, Licensee pays Licensor's reasonable attorney's fees and costs.
8.3 No assignment. Licensee may not transfer the Booking or sublicense the Space without Licensor's written approval.
8.4 House rules. Licensor's posted house rules, as updated, are part of this Agreement.
8.5 Entire agreement and severability. This Agreement and the Booking are the entire agreement. Changes must be in writing, including email, from Licensor. If any part is found unenforceable, the rest stays in effect. A waiver of one breach does not waive another.
8.6 Electronic signature. Licensee accepts this Agreement by checking the agreement box and typing its full name when booking online, or by signing a printed or emailed copy. Electronic acceptance has the same effect as a handwritten signature under New York's Electronic Signatures and Records Act. Licensor keeps a record of the date, time, name and booking.
8.7 Notices. Notices to Licensor go to info@producersclub.com. Notices to Licensee go to the email in the Booking.
